Present: Abbott, Adams, Bellonci,, Clark-Keefe Drum Grizzard, Jacquot, Mansure, Miller, Scherlen Weston
Absent: Barber, Figlow, Gorla, Lord
Scherlen convened the meeting at 6:11pm; a quorum was determined.
I. General Business - Scherlen
Next Meeting: Thursday March 20 th , 2008. Norwood House. 6pm .
David Brumfield was nominated to replace Alecia Jackson as the classroom representative for the Toddler Class. A motion was made and seconded. The Board approved the motion and David was welcomed to the Board.
II. Board Composition and Bylaws change proposals - Scherlen
Grizzard presented a proposed model for MPS Board of Trustees reconfiguration (Attachment A.). Discussion ensued with questions about the model and the discussion evolved tentative answers. See below:
Q1. Would the committees meet regularly? A1. Yes, the chair principle responsibility would be to the committee and would report on committee activities at each Board meeting.
Q2. How would the Personnel Committee be populated? A2. The committee chair and two corporation members appointed by the Board,, the actions of the committee are to be as transparent as possible, while maintaining confidentiality where it is needed.
Q3. What about adding back in the classroom reps? A3. That adds 5 more people to the Board, who lack clear assignments, and the goal is streamlining and greater efficiency/productivity for the Board.
Q4. Is Fundraising too large an assignment if it is festivals and grants/gifts? A4. Yes, divide the position in two: a) Parent-Teacher Organization to run the festivals, etc. and b) Development for grants/gifts.
Q5. Should the Director be a voting member? A5. Much discussion with a vote to have the Director be a non-voting member of the Board.
Q6. Will the Bylaws have to be changed? A6. Yes, and the various procedures and policy manuals, too. Board will work during summer 2008, and submit to the Corporation in August for approval.
Q7. What positions would comprise the Executive Committee? A7. Chair, Chair-elect, Treasurer, and Director.
Q8. Terms of service for the Board. A8. Change from a three to a two year commitment, with the option to serve more than one term. If bylaw changes are adopted, the first Board would be appointed for a mix of 1 year and 2 year terms for continuity.
Q9. What is the new proposed Board configuration? A9. See Attachment B.
Q10. How will the new configuration be more accountable. A10. Quarterly goals for the Board and each committee chair.
III. Finance Committee – Bellonci and Grizzard
There is a waiting list of 30 students. Enrollment is currently at 98% of capacity. Tuition was discussed. Loan repayment was discussed. The corporation volunteer commitment was discussed with options including but not limited to, staying with what is done now (30 hours/year per family with a $10/hr end of the year charge for hours not worked); doing away with the volunteering requirement; or allowing families to buy-out their hours at the beginning of the year for a flat amount.
Scherlen adjourned the meeting at 8:20pm

Note: Both proposals eliminate the Building and Grounds Committee (overseen by the Director); the Gov't and Legislative Committee (inactive), and the five classroom parent reps. Teachers would be expected to take their classroom- Board needs to their House Teacher Board member.
